Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") govern your access to and use of the Reservics application (the "Service"), operated under the brand name Aethonic ("Aethonic", "we", "us", "our"). By installing or using the Service on your Shopify store, you ("merchant", "you", "your") agree to be bound by these Terms. If you do not agree, do not install or use the Service.

2. About the Service

Reservics is a Shopify-embedded application that helps merchants manage restaurant reservations. It provides booking management, capacity and operating-hour controls, customer-facing email communications, optional deposits via Shopify Checkout, and a public storefront widget mounted through Shopify's Theme App Extension framework.

3. Eligibility

• You must operate an active Shopify store in good standing under Shopify's terms of service.
• You must have authority to bind the legal entity (or, if operating as an individual, yourself) to these Terms.
• You must comply with applicable consumer-protection, food-safety, and data-protection law in the jurisdictions where you operate.

4. Merchant responsibilities

By using the Service you agree to:

• Provide accurate restaurant, location, contact, and capacity information.
• Honour bookings confirmed through the Service, or notify diners promptly of any change or cancellation.
• Configure customer-facing copy (confirmation emails, reminder messages, storefront widget text) truthfully and in compliance with applicable advertising and consumer-protection law.
• Publish and honour your own refund and cancellation policy for deposits or no-show fees you collect through the Service.
• Resolve disputes with diners (no-shows, refund requests, complaints about service quality) directly. Reservics is a software tool, not a party to the contract between you and your diners.
• Keep your Shopify-issued credentials secure. You are responsible for all activity that occurs under your shop's authenticated session.

5. Subscription plans, trial, and billing

Plans

• Free — basic reservation management at no cost.
• Pro — USD 9.99 per month, billed monthly via Shopify.
• Advance — USD 19.99 per month, billed monthly via Shopify.

Feature availability per plan is described on the Plan page inside the Service and on the Shopify App Store listing. Aethonic may adjust feature allocations between plans with prior notice via the app release notes or the shop owner's email on file.

Trial

New installations of a paid plan include a 14-day free trial. No charge is made during the trial. The subscription renews automatically at the listed price after the trial ends unless cancelled.

Billing

• All subscription fees are billed through Shopify's Billing API and appear on your standard Shopify invoice.
• Plan upgrades take effect immediately and are prorated according to Shopify's billing rules.
• Plan downgrades take effect at the end of the current billing cycle. You retain access to paid features until that date.
• Taxes, currency conversion, and payment-method handling are managed by Shopify under their billing terms.

6. Refunds and cancellation

• Subscription fees paid to Reservics are non-refundable except where required by Shopify's billing terms or by applicable law.
• You may cancel your subscription at any time from the Plan page inside the Service, or by uninstalling the app from your Shopify store. Cancellation stops future renewals; access to paid features continues until the end of the current billing period.
• Deposits, no-show fees, or any other charges you collect from diners through the Service are between you and the diner. Reservics is not a party to those transactions and does not handle refunds for them — those refunds are processed through your Shopify store.

7. Acceptable use

You agree not to:

• Use the Service to send unsolicited commercial messages, spam, or content that violates applicable anti-spam law.
• Create false, fraudulent, or test bookings on a production store with intent to mislead.
• Misuse personal data of diners in violation of your published privacy policy or applicable data-protection law.
• Attempt to reverse engineer, decompile, disassemble, or extract source code from the Service.
• Resell, sublicense, white-label, or otherwise redistribute access to the Service without prior written permission from Aethonic.
• Use the Service to harass, defame, or harm any person, or to facilitate any unlawful activity.
• Interfere with the integrity, performance, or security of the Service, including by probing, scanning, or load-testing without prior authorisation.

8. Intellectual property

• The Service — including all source code, design, templates, documentation, brand assets, and underlying intellectual property — is and remains the exclusive property of Aethonic, protected by applicable copyright and trademark law.
• You retain ownership of your business data, including restaurant configuration, reservation records, diner contact information, and custom-form responses. By using the Service you grant Aethonic a limited, non-exclusive, worldwide license to host, process, transmit, and display that data solely to the extent necessary to provide the Service to you.
• You may not remove or alter any copyright, trademark, or attribution notices within the Service.

9. Data and privacy

Personal data processed by the Service is handled in accordance with our Privacy Policy. We honour Shopify's mandatory GDPR data-request and data-erasure webhooks (customers/data_request, customers/redact, shop/redact) within Shopify's stated grace windows.

10. Third-party services

The Service integrates with third-party services that you separately agree to, including Shopify (the embedded platform, App Bridge, Billing, Checkout, the Customer API, and the webhook delivery channel) and your configured outbound email provider. Aethonic is not responsible for outages, errors, or policy changes in those third-party services. Your use of those services is governed by their respective terms.

11. Service availability

We aim to keep the Service available and performant, but we do not guarantee uninterrupted operation. Maintenance windows, third-party outages (including Shopify, our hosting provider, or your email provider), and unforeseen incidents may temporarily affect availability. We will use commercially reasonable efforts to restore the Service promptly.

12. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. Aethonic does not warrant that the Service will be uninterrupted, error-free, virus-free, or that it will meet your specific business requirements.

13. Limitation of liability

To the maximum extent permitted by applicable law, Aethonic's total cumulative liability arising out of or relating to these Terms or the Service — whether in contract, tort, statute, or otherwise — shall not exceed the total subscription fees you have actually paid to Aethonic for the Service in the twelve (12) months immediately preceding the event giving rise to the claim. In no event shall Aethonic be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, or business opportunity, even if advised of the possibility of such damages.

14. Indemnification

You agree to indemnify and hold harmless Aethonic and its operators from any third-party claim arising out of (a) your misuse of the Service, (b) your breach of these Terms or applicable law, (c) your treatment of diners or their personal data, or (d) the operation of your restaurant business itself. Aethonic will notify you of any such claim and reasonably cooperate in your defence.

15. Termination

• You may terminate these Terms at any time by uninstalling the Service from your Shopify store.
• Aethonic may suspend or terminate your access for material breach, fraud, abuse, repeated billing failure, or violation of Shopify's developer or merchant terms. Where practical, we will provide reasonable notice and an opportunity to cure.
• Upon termination, your data is retained for up to 48 hours per Shopify's shop/redact grace window, then permanently deleted from our systems. Sections concerning intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

16. Changes to these Terms

We may update these Terms from time to time to reflect changes in the Service, applicable law, or our business practices. Material changes will be announced via the app's release notes and the shop owner's email on file. Continued use of the Service after the effective date of an update constitutes acceptance of the revised Terms.

17. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without regard to its conflict-of-laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Dhaka, Bangladesh.

18. Miscellaneous

• Entire agreement. These Terms, together with the Privacy Policy and any plan-specific terms presented inside the Service, constitute the entire agreement between you and Aethonic concerning the Service.
• Severability. If any provision of these Terms is held invalid or unenforceable, the remainder shall remain in full force and effect.
• No waiver. Aethonic's failure to enforce a provision is not a waiver of its right to do so later.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or successor in connection with a merger, acquisition, or reorganisation.
